Experienced in negotiating intercreditor and co-lender agreements. Also counsel to sponsors and developers of multi-family apartment complexes as well as other participants active in traditional real estate matters, including the acquisition, disposition, and development of real property, many transactions dealing with complex land use and other entitlement issues. Other experience includes loan workouts, foreclosures, restructurings, assumptions, and other lender-consent transactions, especially negotiations involving troubled loans in complex CMBS and other debt structures. Close collaboration with attorneys responsible for legal compliance with federal and state securities offering laws, particularly offerings structured under exemptions from registration under the ‘33 Act and Investment Company Act. Able to leverage prior work experience in tax accounting and finance with broad exposure to corporate law transactions in delivering seasoned legal advice and counseling to participants in the real estate space.
